1. Introduction

1.1 These Terms and Conditions ("Terms") govern the relationship between The Social Halo Limited, registered in England and Wales ("we", "our", "us"), and the client ("you", "your") regarding our social media marketing and digital services.

1.2 By engaging our services, you agree to these Terms in their entirety.

2. Definitions

2.1 "Services" means any digital marketing, social media management, content creation, or related services we provide.

2.2 "Deliverables" means all materials, content, and work products created in providing the Services.

2.3 "Intellectual Property Rights" means all patents, rights to inventions, copyright, trademarks, and other intellectual property rights.

3. Service Agreement

3.1 We shall:

  • Provide Services with reasonable skill and care
  • Meet agreed deadlines and deliverables as specified in the Statement of Work
  • Maintain appropriate professional insurance
  • Comply with all applicable UK laws and regulations

4. Client Obligations

4.1 You shall:

  • Provide accurate information and materials needed for service delivery
  • Grant necessary access to accounts and platforms
  • Pay all agreed fees on time
  • Obtain necessary rights and permissions for materials provided to us

5. Fees and Payment

5.1 Our fees are as specified in the agreed proposal or Statement of Work.

5.2 Payment terms are 30 days from invoice date unless otherwise agreed.

5.3 Late payments will incur interest at 8% plus the Bank of England base rate.

6. Intellectual Property

6.1 You retain ownership of all pre-existing materials provided to us.

6.2 We retain ownership of our pre-existing and independently developed materials.

6.3 Upon full payment, you receive a license to use the Deliverables for their intended purpose.

7. Confidentiality

7.1 Both parties agree to:

  • Keep confidential information secure
  • Use it only for the purpose of providing/receiving Services
  • Not disclose it to third parties without written consent

8. Data Protection

8.1 We comply with the UK GDPR and Data Protection Act 2018.

8.2 Our Privacy Policy details how we process personal data.

8.3 Both parties shall comply with applicable data protection laws.

9. Limitation of Liability

9.1 Our total liability shall not exceed the fees paid for Services.

9.2 We are not liable for:

  • Indirect or consequential losses
  • Loss of profits or revenue
  • Third-party platform changes affecting Services

10. Termination

10.1 Either party may terminate with 30 days written notice.

10.2 Immediate termination is permitted for material breach or insolvency.

10.3 Upon termination:

  • All outstanding fees become immediately payable
  • Both parties shall return confidential information
  • Perpetual provisions survive termination

11. Force Majeure

Neither party is liable for delays due to events beyond reasonable control.

12. Dispute Resolution

12.1 Disputes shall be resolved through:

  • Initial good faith negotiations
  • Mediation if negotiations fail
  • English courts as a last resort

13. General Provisions

13.1 These Terms:

  • Constitute the entire agreement between parties
  • Are governed by English law
  • May only be modified in writing
  • Are severable if any provision is invalid
